MEMO ACCEPTABLE USE POLICY

- Purpose
This Acceptable Use Policy (“Policy”) explains the standards of behaviour expected from all users of the Memo platform.
Its purpose is to protect users, safeguard vulnerable individuals, maintain the security and reliability of the Service, and protect the rights and interests of Memry Corporation Limited (“Memry”), its users and its partners.
This Policy forms part of the Memo Terms of Use. By using Memo, you agree to comply with this Policy.
- Who This Policy Applies To
This Policy applies to all users of Memo, including:
- Primary Users;
- family members;
- informal carers;
- professional carers;
- healthcare professionals;
- NHS organisations;
- care providers;
- local authorities;
- organisations using Memo on behalf of others;
- website visitors;
- anyone accessing the Service.
You are responsible for ensuring that anyone using Memo through your account also complies with this Policy.
- Permitted Use
Memo is intended solely for lawful purposes connected with care coordination, communication, wellbeing support and related activities.
You may use Memo to:
- communicate with authorised users;
- receive reminders and wellbeing support;
- organise care and appointments;
- store authorised information within the Memry Vault;
- share information with authorised family members or carers;
- access AI-assisted conversations;
- use any other functionality provided by Memry in accordance with these Terms.
All use must be lawful, honest and respectful of the rights of others.
- Illegal Activity
You must not use Memo to engage in, encourage or facilitate any unlawful activity.
Prohibited activities include, but are not limited to:
- committing or assisting criminal offences;
- money laundering;
- terrorism or extremist activity;
- identity theft;
- fraud;
- cybercrime;
- stalking;
- harassment;
- blackmail;
- distribution of illegal material;
- unlawful surveillance;
- breaches of data protection legislation.
Where required by law, Memry may report unlawful activity to the appropriate authorities.
- Abuse and Harassment
Users must treat others respectfully.
You must not:
- threaten another person;
- bully or intimidate;
- harass;
- discriminate unlawfully;
- abuse vulnerable individuals;
- send offensive or abusive communications;
- encourage self-harm or violence;
- deliberately cause distress.
This applies to communications with users, carers, professionals and Memry staff.
- Protection of Vulnerable People
Because Memo may be used by older people and individuals living with cognitive impairment, users must not:
- exploit vulnerable individuals;
- manipulate users for financial gain;
- pressure users into decisions;
- misuse access permissions;
- impersonate family members or professionals;
- deliberately provide misleading information that could affect a person’s wellbeing.
Any safeguarding concerns may result in immediate suspension while the matter is investigated.
- Security
You must not attempt to compromise the security of the Service.
Prohibited activities include:
- unauthorised access;
- password attacks;
- denial-of-service attacks;
- malware deployment;
- introducing viruses;
- bypassing authentication;
- exploiting software vulnerabilities;
- interfering with security monitoring;
- attempting to gain administrator access.
You must promptly notify Memry if you become aware of any security vulnerability or unauthorised access affecting the Service.
- Security Research and Testing
Security testing, vulnerability scanning, penetration testing or similar activities may only be carried out with Memry’s prior written permission.
Unauthorised testing may be treated as an attempted cyber-attack and may result in suspension, legal action or notification to the relevant authorities.
Nothing in this Policy prevents responsible vulnerability disclosure through any process published by Memry.
- Reverse Engineering
Except where expressly permitted by applicable law, you must not:
- reverse engineer;
- decompile;
- disassemble;
- modify;
- create derivative works from;
- extract source code from;
- attempt to discover proprietary algorithms used within Memo.
You must not remove copyright notices or proprietary markings.
- Harmful or Unlawful Content
You must not upload, store, transmit or share Content that:
- is unlawful;
- is defamatory;
- is obscene;
- promotes violence;
- promotes terrorism or extremism;
- exploits children;
- infringes another person’s privacy;
- infringes intellectual property rights;
- contains malicious software;
- is fraudulent;
- is knowingly false where it could reasonably cause harm.
Memry may remove Content where reasonably necessary to protect users, comply with legal obligations or maintain the integrity of the Service.
- Intellectual Property
You must respect the intellectual property rights of others.
You must not upload or distribute material that you do not have the legal right to use.
Where Memry receives a legitimate complaint concerning copyright or other intellectual property infringement, we may remove the material and, where appropriate, suspend the responsible account.
- Fraud and Misrepresentation
You must not:
- impersonate another individual;
- falsely claim professional qualifications;
- misuse another person’s identity;
- create fraudulent accounts;
- provide deliberately misleading information;
- misuse payment methods;
- attempt to obtain services dishonestly;
- exploit subscription systems.
Providing false authority to act on behalf of another person may result in immediate account suspension.
- Artificial Intelligence
Memo uses artificial intelligence to support users.
You must not use Memo:
- to generate unlawful content;
- to deceive others through AI-generated information;
- to create fraudulent communications;
- to bypass security controls;
- to generate malicious software;
- to deliberately manipulate vulnerable individuals;
- to encourage criminal activity;
- to distribute harmful misinformation.
Users remain responsible for all content generated or shared through their accounts.
- Privacy of Others
You must respect the privacy rights of all individuals.
You must not:
- upload personal information without appropriate authority;
- share confidential information unlawfully;
- misuse another person’s health information;
- disclose private information without permission where permission is required by law.
- Monitoring and Investigation
Memry may monitor use of the Service where reasonably necessary to:
- maintain security;
- investigate suspected misuse;
- comply with legal obligations;
- protect users;
- enforce this Policy.
Monitoring is carried out in accordance with our Privacy Notice and applicable law.
- Enforcement
Where we reasonably believe this Policy has been breached, Memry may take one or more of the following actions:
- issue a warning;
- remove Content;
- temporarily suspend access;
- permanently terminate an account;
- disable specific functionality;
- require additional verification;
- report unlawful conduct to the appropriate authorities;
- pursue legal remedies where appropriate.
The action taken will depend upon the seriousness of the breach.
- Appeals
Where reasonably practicable, users may request that Memry reviews an enforcement decision by contacting our support team.
Submission of an appeal does not guarantee reinstatement.
- Changes to this Policy
We may update this Policy from time to time to reflect changes in law, technology or the Service.
Where changes are significant, we will provide appropriate notice before they take effect.
Continued use of Memo after the effective date of the revised Policy constitutes acceptance of the updated version.
